STATUTES OF “The pets’ second home” SOCIETY

1 THE NAME OF THE SOCIETY AND GENERAL RULES

1.1 The name of the society is “The pets’ second home” (hereinafter Society).

1.2 The Society works accordingly with these statutes, laws and regulations of the Republic of Latvia and international regulations.

1.3 The Society cooperates with international organizations, physical and legal persons, the Republic of Latvia, local authorities and institutions.

2 AIMS OF THE SOCIETY

2.1 The aims of the Society are:

2.1.1 To encourage local residents to participate in animal and environmental protection, to protect animals and the environment;

2.1.2 To coordinate, organize and unite the activities of the animal shelter, to cooperate;

2.1.3. To inform the residents of Latgale and Latvia of the problems and needs of stray animals;

2.1.4 To exchange experience during the activities of the animal shelter;

2.1.5 To help children and people of different ages (including pensioners and people with special needs) contact with animals by means of animal therapy methods.

2.1.6 To raise donations for charitable purposes.

2.1.7 To organize activities on a country and international scale.

3 TERM OF VALIDITY OF THE SOCIETY

3.1 The Society has been established for an indefinite period.

4 MEMBER ENTRANCE IN THE SOCIETY, SECESSION AND EXPULSION

4.1 Any capacitated physical or legal person or capable partnership can enter the Society by submitting a written application of a definite form. The form of the application and documents that must be enclosed shall be determinated by the board of the Society.

4.2 The decision on the entry of a member into the Society shall be taken by the board. The board shall consider the application of a member during the nearest meeting but no longer than in two weeks from the date of receiving all the needed documents. The applicant shall be invited on the meeting during which his or her application is being considered and he or she shall be allowed to express his or her opinion. Non-appearance of the applicant shall not interrupt taking a decision. The board shall inform the applicant on a reasoned decision in written in a week from the date of making the decision.

4.3 An applicant can appeal against the denial of the board to the general meeting of the members. In case the general meeting of the members also denies the application of the applicant, the applicant shall not be considered a member and he or she can submit a duplicative application no sooner than after a year.

4.4 A member can withdraw from the Society at any time by informing the board in written;

4.5 A member can be expelled from the Society by a decision of the board if:

4.5.1 the member has not been paying membership dues for longer than 3 (three) months;

4.5.2 the member does not implement decisions of the general meeting and the board;

4.5.3 the member does not perform his or her duties and undertaken obligations;

4.5.4 the member inflicts material damage on the Society;

4.5.5 the member is engaged in activities that contravene these statutes.

4.6 The board considers expulsion of a member of the Society during the nearest meeting. The applicant shall be invited on the meeting and he or she shall be allowed to express his or her opinion. Non-appearance of the applicant shall not interrupt taking a decision. The board shall inform the applicant on the decision and the reasons of it in written in five days from the date of making the decision.

4.7 If the causes, on the ground of which the member was expelled from the society, have been eliminated, the member shall have the right to submit a written application for entering the Society anew. Decision on accepting the member shall be made in accordance with the paragraphs 4.2 and 4.6 of these statutes.

4.8 The board keeps a register of the members into which it enters the name, surname, porsonal code, place of residence (the name, registration number and address of a legal person) and entry date of every member.

5 RIGHTS AND OBLIGATIONS OF MEMBERS

5.1 The members of the Society shall have the following rights:

5.1.1 to join the administration of the Society,

5.1.2 to get information about activities of the Society, which includes familiarizing with all the protocols, decisions and orders of the Society,

5.1.3 to participate or to refuse to participate in all the activities organized by the Society, to offer a proposal on the activity of the Society and its improvement, to defend his or her opinion.

5.2 The members of the Society shall have the following obligations:

5.2.1 to observe the statutes of the Society and to implement decisions of the member meeting and the board,

5.2.2 to pay membership dues on a regular basis,

5.2.3 to support the implementation of the aims of the Society by means of active cooperation,

5.2.4 to appreciate a good-name of the Society and not to permit any action that can disserve to reputation of the Society in society,

5.2.5 not to spread confidential information, that a member of the Society got to know about as a member of it,

5.2.6 to discharge one’s duties, concerning work input or property collaboration with the activity of the Society.

5.3 The duties of members could be established with the decision of the member meeting or the board decision. Establishing the duties for a member, that are different from the duties of other members, there is necessary a consent of that member.

6 STRUCTURAL UNITS OF THE SOCIETY

6.1 Territorial and structural units of the Society could be founded with the decision of the member meeting;

6.2 Structural units, rights and obligations, the same as relationships with the Society are regulated by the statute that is confirmed by the board of the Society.

7 CONVOCATION OF MEMBER MEETING AND DECISION-MAKING

7.1 The member meeting is the highest institution of the Society.

7.2 All the members of the Society are entitled to take part in a member meeting. The members of the Society also can take part in a member meeting by the virtue of a representative. A power of attorney for taking part in a member meeting and for voting at that is handed out in written form.

7.3 Regular member meeting is convocated once a year no later than the 1st of April.

7.4 Extraordinary meeting is convocated by the board initiative, or if it is required from not less than one tenth of the members of the Society, pointing at the reason of the convocation.

7.5 The member meeting is convocated no later than two weeks before the meeting, sending a written invitation to each of the members of the Society.

7.6 The member meeting is entitled to vote, if more than the half of the members of the society is taking part in that.

7.7 In case if the member meeting is not entitled to vote for the lack of a quorum, then reiterative meeting is convocated during three weeks and is entitled to decision-making notwithstanding of an amount of the members of the Society, on condition that there are at least two members.

7.8 The decision of the member meeting is confirmed, if more than the half of the muster members has voted for it. Decision about amendments of the statutes as well as the termination or continuation of the activity of the society is confirmed, if more than the two thirds of the muster members has voted for it.

8 EXECUTIVE BODY

8.1 The executive body of the Society is the board.

8.2 The board consists of three board members, who separately represent the Society.

8.3 The board is entitled to decide all the questions that is not under exclusive jurisdiction of the member meeting.

8.4 A board member can discharge one’s duties for a consideration. An amount of the consideration and terms and conditions of payment are established by the decision of the general member meeting. A board member can require for covering of such expenses that were made excharging one’s duties.

8.5 A board member can be recalled only in case of a serious reason. In any case undischarge or inadequate fulfillment of one’s duties as well as disability of leading the Society, injurious actions to interests of the Society and loss of confidence are considered as serious reasons.

9 MEMBERSHIP DUES

9.1 Members of the Society pay membership dues every year according to an amount that is established by the board.

9.2 The board is keeping accounts of payments of membership dues and controlling them.

10 AUDITOR

10.1 The auditor, who is controlling financial and optional activities of the Society, is elected by a member meeting for one year.

10.2 A member of the board of the Society can not be the auditor of the Society.

10.3 The auditor:

10.3.1 audits the property and finances of the Society;

10.3.2 gives the conclusion about the budget and annual account of the Society;

10.3.3 evaluates the bookkeeping and recordkeeping work of the Society;

10.3.4 gives the recommendations for an improvement of financial and optional activities of the Society.

10.4 The Auditor audits within the time specified by the member meeting.

10.5 The member meeting confirms the annual account of the Society only after receiving the conclusion from the Auditor.
